This contract ("Agreement") is made and entered into on [Date] by and between [Consultant Name], a [State] corporation with an address of [Consultant Address] (hereinafter referred to as "Consultant"), and [Client Name], a [State] corporation with an address of [Client Address] (hereinafter referred to as "Client").

The Consultant and the Client hereby agree to enter into a consulting relationship as follows:

Scope of Services. The Consultant will provide the Client with IT consulting services, including but not limited to the analysis, design, implementation, and maintenance of software and computer systems. The specific tasks to be performed by the Consultant are described in Exhibit A, attached hereto. The Consultant shall use reasonable care and skill in performing the consulting services. The Client acknowledges that the Consultant is not responsible for any damages or losses that may result from the use of the consulting services.

Term of Agreement. This Agreement shall commence on [Date] and shall continue until [Date], unless terminated earlier by either party upon thirty (30) days written notice.

Compensation. The Client shall pay the Consultant [Amount] for the consulting services described in this Agreement. Payment shall be made in [Number] equal installments of [Amount] due on the [Date] of each month.

Confidentiality. The Consultant acknowledges that during the course of this Agreement, he or she may have access to confidential information belonging to the Client. The Consultant agrees to hold all such information in confidence and not to disclose it to any third party without the prior written consent of the Client.

Termination. This Agreement may be terminated by either party upon thirty (30) days written notice if the other party breaches any material term or condition of this Agreement.

Governing Law. This Agreement shall be governed by the laws of the State of [State].
